Recent Representative Cases

  • Helped the owners of a multimillion dollar manufacturing business negotiate, structure and complete the sale of the business. This transaction involved the transfer of business operations, a real estate sale, seller financing, a consulting arrangement, non-competitive covenants, and the resolution of a number of significant financial, tax and environmental issues.
  • Assisted a large real estate developer with negotiating, structuring and then completing the buy-out of his partner through the purchase of stock and partnership interests. Seller financing in excess of $7 million was involved.
  • Successfully helped a home builder raise funds from private investors which will be used to construct a new residential project. This transaction not only involved financing documents, but also compliance with applicable securities laws.
  • Represented a large distributor of vehicle parts in the sale of its business for a price in excess of $10 million. This transaction involved negotiation of a number of employment agreements, non-competitive covenants, and obtaining approval of the assignment of a major government contract.
  • Helped an automobile dealer structure and complete an ownership transfer of six dealerships to a family trust created for the benefit of his children. It was necessary to negotiate approvals by the manufacturer of each dealership transfer.
  • Represented a family who, owning 100 acres of valuable farmland, decided to sell a conservation easement to the Commonwealth of Pennsylvania on most of the property. It was projected that the family would face significant income tax liability as a result of granting this easement. We were able to significantly reduce the tax liability by structuring the transaction so that the family members obtained large charitable tax deductions and acquired two new properties through tax-deferred exchanges. This transaction was audited by the Internal Revenue Service, which accepted the tax results in full with no changes.
